PLEASE READ THESE TERMS CAREFULLY BEFORE USING ZENCODE AI

1. Acceptance of Terms

By purchasing, downloading, installing, or using ZenCode AI (“the Plugin”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Plugin.

2. License Grant

2.1 Annual License

ZenCode AI is licensed, not sold, to you for £95 per year.
14-Day Money-Back Guarantee included.
License grants you the right to install and use the Plugin on websites you own or manage.
License is non-transferable.
One license per WordPress installation.

2.2 What You Can Do

Install the Plugin on your WordPress site.
Use the Plugin to build projects for personal or commercial purposes.
Create unlimited projects.
Export and deploy your projects anywhere.
Own 100% of the code you create with the Plugin.

2.3 What You Cannot Do

Resell, redistribute, or sublicense the Plugin.
Modify, reverse engineer, or decompile the Plugin.
Remove or alter any proprietary notices.
Use the Plugin for illegal purposes.
Share your license key with others.
Use one license on multiple sites (separate licenses required).

3. CRITICAL: Google API Usage and Costs

3.1 Bring Your Own Key (BYOK) Model
YOU are responsible for obtaining, maintaining, and paying for your own Google API key.

3.2 Google API Terms Compliance – YOUR RESPONSIBILITY
IMPORTANT: You must comply with Google’s API Terms of Service.

COMMERCIAL USE: If you create products for sale, client projects, or any commercial application, you must comply with Google’s commercial terms.
Usage Limits: You are responsible for monitoring and staying within Google’s usage limits.
API Costs: You are solely responsible for all API costs charged by Google.
Terms Updates: You must stay informed of and comply with Google’s current Terms of Service.

3.3 Our Position on API Compliance
ZENCODE AI DOES NOT MONITOR OR ENFORCE GOOGLE’S API TERMS. You acknowledge that:

We are not responsible for your compliance with Google’s terms.
We do not monitor your API usage or application.
Violations of Google’s terms are between you and Google.
We are not liable for any consequences of your API misuse.
Your license to use ZenCode AI may be terminated if your Google API access is revoked.

3.4 API Cost Acknowledgment
You acknowledge and agree that:

API costs are separate from the ZenCode AI license fee.
You pay Google directly for API usage.
We provide no guarantees about API costs.
Unexpected high API costs are your responsibility.
Refunds of the ZenCode License fee DO NOT include refunds for your Google API usage.

4. No Warranties – AI-Generated Code

4.1 “AS IS” Provision
THE PLUGIN IS PROVIDED “AS IS” WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability
Fitness for a particular purpose
Non-infringement
Accuracy or reliability of AI-generated code
Error-free operation
Uninterrupted service

4.2 AI-Generated Code Disclaimer
YOU ACKNOWLEDGE THAT:

AI-generated code may contain errors, bugs, or security vulnerabilities.
You are solely responsible for reviewing, testing, and validating all code.
We make no guarantees about code quality, functionality, or security.
You must test code thoroughly before deployment.
AI models can make mistakes or produce unexpected results.
You are responsible for ensuring code meets your requirements.

4.3 No Professional Advice
The Plugin does not provide professional coding, legal, or business advice. All outputs are suggestions only.

5. Limitation of Liability

5.1 Maximum Liability
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR YOUR ANNUAL LICENSE (£95).

5.2 Exclusion of Damages
WE ARE NOT LIABLE FOR:

Lost profits, revenue, or business opportunities.
Data loss or corruption.
Code errors or malfunctions.
Security breaches in AI-generated code.
Google API costs or overages.
Violations of Google’s API terms.
Downtime or service interruptions.
Third-party claims related to your use of generated code.
Indirect, incidental, consequential, or punitive damages.

6. Indemnification

YOU AGREE TO INDEMNIFY AND HOLD US HARMLESS FROM:

Your violation of these Terms.
Your violation of Google’s API Terms.
Your use or misuse of AI-generated code.
Claims related to code you created with the Plugin.
Your violation of any third-party rights.
Excessive Google API charges you incur.

7. Refund Policy (Money-Back Guarantee)

7.1 14-Day Money-Back Guarantee
We offer a full refund of the £95 license fee if requested within 14 days of your initial purchase date.

7.2 Conditions for Refund

You must request the refund via email or our support system within 14 calendar days of purchase.
Upon refund, your license key will be immediately deactivated, and you must uninstall the Plugin.

7.3 Exclusions

API Costs: We cannot refund money you paid to Google for API usage. The refund applies strictly to the £95 ZenCode AI license fee.
After 14 Days: No refunds will be issued after the 14-day period has expired.

8. Payment and Renewal

Annual license fee: £95 per year.
Licenses do not auto-renew (unless you opted in at checkout).
You must manually renew your license to continue receiving updates.
30-day grace period after expiration for renewal.
Prices subject to change (existing licenses honored).

9. Updates and Support

Free updates included during active license period.
Email support provided.
No guaranteed response time.
Support does not include custom development.
We may discontinue support for outdated versions.

10. Termination

10.1 By You
You may terminate by stopping use and uninstalling the Plugin. No refund for unused time (unless within the 14-day guarantee period).

10.2 By Us
We may terminate your license immediately for:

Violation of these Terms.
Fraudulent activity.
Illegal use.
Abuse of the service.
Chargebacks or payment disputes.

11. Data Ownership and Privacy

You own all code and projects you create.
Your projects are stored locally on your server.
We do not access your projects or API communications.

12. Intellectual Property

ZenCode AI Plugin is our proprietary software.
You own the code you create with the Plugin.
You may not claim ownership of the Plugin itself.
Our trademarks and branding remain our property.

13. Third-Party Services

Integration with Google Gemini API is subject to Google’s terms.
We are not responsible for third-party service failures.
You are responsible for compliance with all third-party terms.

14. Changes to Terms

We may update these Terms at any time.
Material changes will be notified via email.
Continued use after changes constitutes acceptance.
If you don’t agree to changes, you must stop using the Plugin.

15. Jurisdiction and Disputes

16. Entire Agreement
